FIDIA GROUP

Fidia is the head of a group of subsidiary companies (the "Group" or the "Fidia Group") which comprises:

Fidia GmbH.: Set up by Fidia in 1984, it has its registered office in Dreiech (Germany) and a company capital of € 520,000. The company sells numerical controls and milling systems as well as providing technical support for all Fidia Group products in Germany, Austria, the German-speaking cantons of Switzerland, the Netherlands and the Czech Republic. 100% invested by Fidia S.p.A.

Fidia Co.: Set up by Fidia in 1984, it has its registered office in Rochester Hills (Michigan USA) and a company capital of USD 400,000, entirely owned by FIDIA S.p.A. The company sells and provides technical support for all the Fidia Group products in the U.S.A. and Canada.

Fidia S.a.r.l. Set up by Fidia in 1989, it has its registered office in Emerainville (Paris, France) and a company capital of € 300,000. The company sells and provides technical support for all Fidia Group products in France and Belgium.
Fidia S.a.r.l. is 100% owned by the Grou, partly by Fidia S.p.A. (93.19%) and partly by Fidia GmbH (6.81%)

Fidia Iberica S.A.: Set up by Fidia in 1988, it has its registered office in Zamudio (Bilbao, Spain) and a company capital of € 180,300. The company sells and provides technical support for all Fidia Group products in Spain, Portugal and Mexico.
99.993% is owned by Fidia.

Fidia do Brasil Comércio de Equipamentos Ltda.: Comércio de Equipamentos Ltda. Set up by Fidia in 1994, it has its registered office in São Paulo (Brazil) and a company capital of Reais 400,000 of which Fidia S.p.A. owns 99.75%. The company sells and provides technical support for all the Fidia Group products in Brazil and neighbouring countries.

OOO Fidia: OOO Fidia was set up in 2003 it has its registered office in Moscow (Russian Federation) and a company capital of 3,599,790 Roubles entirely owned by Fidia S.p.A. The company sellsand provides technical support for all Fidia Group products of the country.

Beijing Fidia Machinery & Electronics Co., Ltd.: Set up as a joint venture in 1993 between Fidia, the China National Aero-Technology Import and Export Corporation Bejing Company and the Bejing Aeronautical Manufacturing Technology Research Institute, it has its registered in Beijing (People’s Republic of China) and a company capital of USD 1,500,000. The company assembles numerical controls, sells and provides technical support for all the Fidia Group products in the territory of the People’s Republic of China.

Shenyang Fidia NC&M Co. Ltd.: Shenyang Fidia NC&M Co. Ltd. was set up in 2005 as a joint venture between Fidia S.p.A. (which owns 51% of its capital) and Shenyang Machine Tool Company Ltd., the most important machine tool builder of the area. It has is registered office in Shenyang (People’s Republic of China) and a company capital of RMB 36,140,000. The company manufactures high speed milling systems and numerical controls using the Fidia technology.
